Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your access to and use of the AppGenie platform, website, and related services (collectively, the "Service") provided by AppGenie, Inc. ("AppGenie," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Service Description

AppGenie is an AI-native product development platform that helps teams define product intent, generate specifications, and validate software through automated testing. The Service is currently in pre-launch and available only to approved users via waitlist.

3. Accounts and Access

  • You must provide accurate information when creating an account.
  • You are responsible for maintaining the security of your account credentials.
  • You must notify us promptly at security@appgenie.ai if you suspect unauthorized access.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

4. Your Content and Data

Ownership: You retain all rights to the content you create, upload, or input into AppGenie, including product models, specifications, scenarios, and test configurations ("Your Content"). We do not claim ownership of Your Content.

License to us: You grant AppGenie a limited license to process, store, and display Your Content solely to provide and improve the Service. We will not use Your Content to train machine learning models without your explicit consent.

Data portability: You may export Your Content at any time through the platform's export features or by contacting hello@appgenie.ai.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the Service or its infrastructure
  • Reverse engineer, decompile, or disassemble the Service
  • Use the Service to develop a competing product
  • Share account credentials with unauthorized parties
  • Transmit malware, viruses, or other harmful code
  • Scrape, crawl, or index the Service without permission

6. Intellectual Property

The Service, including its software, design, documentation, and branding, is owned by AppGenie, Inc. and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

"AppGenie" and associated logos are trademarks of AppGenie, Inc. You may not use our trademarks without prior written permission.

7. Third-Party Services

The Service integrates with third-party tools (coding agents, project management tools, AI providers) via MCP and other protocols. Your use of third-party services is governed by their respective terms. We are not responsible for third-party services or their content.

8. Fees and Payment

Current state: The Service is in pre-launch. Waitlist access is free. Pricing terms will be communicated before any paid features are activated.

Future state: Paid features will be billed according to the pricing published at appgenie.ai/pricing. We will provide at least 30 days' notice before charging for any previously free feature.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted or error-free
  • AI-generated outputs (specifications, tests, suggestions) will be accurate or complete
  • The Service will meet your specific requirements

You acknowledge that AI-generated content requires human review and that AppGenie is a tool to assist, not replace, professional judgment.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, APPGENIE, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR USE OF OR INABILITY TO USE THE SERVICE
  • ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR CONTENT
  • ANY THIRD-PARTY CONDUCT ON THE SERVICE
  • ANY OTHER MATTER RELATING TO THE SERVICE

IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

11. Indemnification

You agree to indemnify and hold harmless AppGenie, Inc., its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service or violation of these Terms.

12. Termination

  • By you: You may stop using the Service and delete your account at any time.
  • By us: We may suspend or terminate your access if you violate these Terms, with notice where practicable. In the event of termination, we will provide a reasonable period (at least 30 days) to export Your Content, unless the termination is due to a material breach.
  • Effect: Upon termination, your right to use the Service ceases. Sections 4 (Your Content ownership), 9 (Warranties), 10 (Liability), 11 (Indemnification), and 14 (Governing Law) survive termination.

13. Changes to Terms

We may update these Terms from time to time. We will provide notice of material changes at least 30 days before they take effect, via email or prominent notice within the Service. Your continued use after the effective date constitutes acceptance.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.

15. General

  • Entire agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and AppGenie regarding the Service.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • Waiver: Our failure to enforce any right or provision does not constitute a waiver.
  • Assignment: You may not assign your rights under these Terms. We may assign our rights in connection with a merger, acquisition, or sale of assets.
